Umios to Acquire Majority Stake in Leading Malaysian Pet Food Manufacturer Pet World International Sdn. Bhd.

Umios Corporation (Headquarters: Minato-ku, Tokyo; Representative Director, President: Daisuke Yasuda) today announced that it has resolved to acquire a 51% equity interest in Pet World International Sdn. Bhd. (PWI), a leading pet food manufacturer in Malaysia, through a newly established holding company.

Following the acquisition, PWI will become the third company in the Umios Group’s pet food business, joining AIXIA Corporation, which primarily serves the Japanese market, and Southeast Asian Packaging And Canning Ltd. (SEAPAC) of Thailand, which supplies overseas markets, primarily in Europe and North America.

The acquisition strengthens the Umios Group’s presence in the rapidly growing Asian pet food market while enhancing its global production and supply capabilities. The Group aims to leverage both companies’ strengths to expand its pet food business and accelerate growth.


1. Strategic Reasons for Acquiring PWI Shares

Since its founding, the Umios Group has made the sustainable sourcing and processing of marine-derived raw materials the foundation of its business. The Group consistently delivers value through food using its integrated global platform for safe and reliable food production, quality assurance, and distribution. Leveraging this foundation, the Group is expanding its pet food business across North America, Europe, and Japan.

The global pet food market was valued at approximately 188.3 billion dollars in 2024 and, according to Mordor Intelligence’s Global Pet Food Market report, is expected to grow at a Compound Annual Growth Rate (CAGR) of 5% to 7% through 2032, driven by rising pet ownership and the growing trend to view pets as family members. The Asian market is expected to grow even faster, at approximately 8%, supported by an expanding middle-income population and increasing pet ownership.

In this market environment, the Umios Group has positioned the full-scale expansion into Asia as a strategic priority, which was behind the decision to acquire the shares of PWI.


2. PWI’s Strengths and Expected Synergies with the Umios Group

PWI holds the second-largest market share in Malaysia’s dog and cat food market and is one of the leading companies driving growth across the ASEAN pet food market, offering a broad portfolio of centered on dry pet food products, ranging from value-priced to premium categories.

The Umios Group’s pet food business has strengths in wet food and advanced research and development capabilities that support the growing demand for products designed to help extend the healthy lifespan of pets, reflecting the increasing trend to view pets as members of the family.

The acquisition will combine PWI’s strength with the Umios Group’s expertise in raw material procurement and processing technology. The Group will integrate sales networks, optimize product strategies, and coordinate research and development functions to accelerate expansion across Asia and further strengthen its pet food business.


3. Contribution to the Umios Group’s Growth Strategy

The Umios Group’s pet food business is expected to generate operating income of approximately 10 billion yen and achieve an ROIC of approximately 18% in the fiscal year ending March 2028, the final year of the current Mid-term Management Plan. ROIC is expected to remain well above the Group’s Mid-term Management Plan’s target of 5%.

The acquisition will extend the Umios Group’s raw material procurement capabilities in its Marine Resources Business Segment to the pet food business, creating an integrated business model from upstream raw material procurement to downstream finished products. The resulting synergies are expected to further improve the Group’s profitability and capital efficiency.
